Drafting a tight contract can act as an important complement to building an ethos of collaboration and problem solving in the relationship. It is often assumed that partnering and collaboration alone can deal with any difficulties in the relationship. However, a carefully drafted contract can serve as an impetus for action and improvement.

Organisations often decide that it is not necessary to allocate resources to tackle processes with which they are experiencing problems. In certain circumstances, where poor performance is a result of a lack of scale economies or knowledge of the process, outsourcing the process may be appropriate. For example, where a supplier can realise significant scale economies in a process through servicing the requirements of a number of customers, it is very difficult for the sourcing organisation to replicate such a position.
